Welcome to DEMO! This website, https://demo.com, and any other websites of DEMO LLC ("DEMO," "we," "us," or "our") (collectively, the "Site") is owned and operated by DEMO. The terms and conditions of use detailed below (the "Terms of Use") govern your access to and use of the Site and apply to all internet users visiting the Site or our mobile application (the "App") by accessing or using the Site or App in any way, including using the services and resources we make available through the Site or App (the "Services"). These Terms of Use are a legal contract between you and DEMO.

By accessing or using the Site, downloading the App, or using any of the Services, you hereby represent that (1) you have read, understand, and agree to these Terms of Use, (2) you are at least 18 years of age or the age of majority in your jurisdiction, and (3) you agree to be bound by all applicable laws and regulations. If you do not agree with these Terms of Use, then you may not access or use the Site, the App, or the Services.

We may change these Terms of Use at any time in our sole discretion. When changes are made, we will make a new copy available at the Site and update the "Last Updated" date above. Material changes will be effective for new users immediately and for existing registered users thirty (30) days after posting notice of such changes. Your continued use of the Site, App, or Services after any such change constitutes your acceptance of the modified terms. Please regularly check the Site to view the current Terms.

Collection and Use of Personal Information

Your use of the Services may involve the transmission to us of certain personally identifiable information. Our policies with respect to the collection and use of such information are set forth in our Privacy Policy, which is incorporated by reference in its entirety.

If you agree to receive text messages from DEMO, message and data rates may apply and message frequency may vary. You may opt out at any time by replying STOP to any message. The Services

Insurance Services

The Services include content, tools, links, and recommendations intended to provide you with decision support related to insurance. All information provided through this Service is for general informational and educational purposes only.

The Services may also include our preparation of quotes and the brokering and transacting of sales of third-party insurance products. We are a licensed independent insurance broker. We do not underwrite any insurance policy made available through the Services. Any insurance policy premium quotes or ranges displayed on the Site are non-binding. The final insurance policy premium is determined by the underwriting insurance company following application. Insurance products and their availability may vary by state and individual circumstances. Third-party insurance products offered through the Site are only available in jurisdictions in which we are properly licensed.

Your use of certain Services may require you to agree to additional terms and conditions or enter into separate agreements with us or applicable third-party insurance carriers. Any third-party insurance products purchased through the Site are subject to the terms and conditions of the applicable insurance carrier. In the event of a conflict between these Terms of Use and those other terms, the other terms will control.

Will and Estate Planning Services

The Services may also include self-help "fill in the blank" forms to help you prepare simple wills, trusts, and other estate planning documents ("Forms") (the "Will and Estate Planning Services"). We are not a law firm and are not licensed to practice law. We do not provide legal representation or advice. No attorney-client relationship is created or intended to be created between you and DEMO or its employees or agents.

Use of the Services and DEMO Properties

The App, Site, Services, and all information and content available thereon (each, a "DEMO Property" and collectively, the "DEMO Properties") are protected by copyright laws throughout the world. Subject to these Terms of Use, we grant you a limited license to reproduce portions of the DEMO Properties solely for your personal or internal business use of the Services.

App License

Subject to your compliance with these Terms of Use, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use a copy of the App on a single mobile device or computer that you own or control, solely for your own personal or internal business purposes.

Forms

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Forms for your own personal or internal business use. You may not create derivative works of, modify, reproduce, reverse engineer, or otherwise exploit the Forms, other than as permitted to complete them for your own authorized use. You are licensed to download and print electronic and physical copies of Forms you produce through the Services for your personal records.

Certain Restrictions

The rights granted to you in these Terms of Use are subject to the following restrictions. You shall not:

• License, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the DEMO Properties or any portion thereof
• Frame or use framing techniques to enclose any trademark, logo, or other DEMO Properties
• Use any metatags or other "hidden text" using our name or trademarks
• Modify, translate, adapt, merge, make derivative works of, disassemble, decompile, or reverse engineer any part of the DEMO Properties
• Use any automated software, devices, or other processes to "scrape" or download data from any web pages on the Site
• Access the DEMO Properties in order to build a similar or competitive website, application, or service
• Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the DEMO Properties in any form or by any means, except as expressly permitted herein
• Remove or destroy any copyright notices or other proprietary markings on or in the DEMO Properties

DEMO Communications

By entering into these Terms of Use or using the DEMO Properties, you agree to receive communications from us, including via email, text and/or SMS messages, calls, and push notifications. You agree that texts, calls, or prerecorded messages may be generated by automatic telephone dialing systems. Standard text messaging charges applied by your carrier will apply.

Communications may include operational communications about your account, updates about new and existing features, promotional communications from us or our partners, and industry news.

Your Account

You do not need to register to visit and view the Site; however, to access certain areas and Services, you must become a registered user by creating an account ("Account"). To register, you must provide your first name, last name, and email address. You warrant that all registration information is truthful, accurate, current, and complete, and you agree to update it as necessary.

You are solely responsible for the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your password or any security breach, and to exit your account at the end of each session. You agree not to create an Account using a false identity or on behalf of someone other than yourself, and not to maintain more than one Account per platform at any time.

You acknowledge and agree that you have no ownership or property interest in your Account, and that all rights in and to your Account are and shall forever be owned by and inure to the benefit of DEMO.

Your Content

You are entirely responsible for all content that you upload, post, email, transmit, or otherwise make available through the DEMO Properties ("Your Content"). You assume all risks associated with use of Your Content, including any reliance on its accuracy, completeness, or usefulness.

DEMO has no obligation to store any of Your Content. DEMO has no responsibility or liability for the deletion or accuracy of any content, the failure to store or transmit content, or the security, privacy, storage, or transmission of other communications. Except for DEMO's obligations to protect your personal data as set forth in our Privacy Policy, DEMO assumes no responsibility for the timeliness, deletion, mis-delivery, or failure to store any content or user communications.

Subject to applicable account settings, you grant us a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, license, distribute, reproduce, modify, adapt, publicly perform, and publicly display Your Content for the purposes of operating and providing the DEMO Properties to you and to other registered users.

Intellectual Property

The DEMO Properties contain text, graphics, images, and other materials provided by or on behalf of us (collectively, the "Content"). The Content is owned by us or our licensors and is protected under United States and foreign laws, including registered and unregistered trademarks and service marks. Except with respect to Your Content, you agree that you have no right, title, or interest in or to any Content that appears on or in the DEMO Properties.

You shall not: (i) use our trademarks, service marks, or logos without our written permission; (ii) copy or use the Content for any purpose other than your own personal use in accordance with these Terms; (iii) remove any copyright or proprietary notices from the Content; (iv) sell, transfer, assign, license, sublicense, or modify the Content, or use it for any public or commercial purpose; or (v) post the Content on any other website or in a networked computer environment.

Unsolicited Information

By submitting any unsolicited information and materials, including comments, ideas, questions, designs, and similar communications ("Unsolicited Information"), you agree that all such information will be considered non-confidential and non-proprietary. We and our affiliates may use such information for any purpose whatsoever, including reproduction, disclosure, transmission, publication, and further posting. By submitting Unsolicited Information, you grant us a perpetual, royalty-free, irrevocable right and license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, publicly perform, sublicense, create derivative works from, transfer, and sell such information.

Disclaimers of Warranties

We are not liable for the conduct of third parties, including operators of external sites. The risk of injury from such third parties rests entirely with you.

Insurance Services Disclaimer

Results of any insurance checkup or coverage estimate are based on preliminary data provided by you and are for informational and educational purposes only. They are not a substitute for professional financial advice. Your actual insurance needs may differ depending on details not captured in our tools. These results should not be interpreted as a recommendation to buy or forgo any insurance product without further research or consultation with a financial professional.

Third-Party Insurance Products

Any and all insurance products quoted or sold through the Site are third-party products and are not our products. We make no representations or warranties with respect to such products and accept no liability in connection with them. All such products are subject to the terms and conditions of the insurance carrier providing them. Any questions, concerns, or disputes regarding such products should be directed to the applicable insurance carrier.

Limitation of Liability

You hereby release and forever discharge DEMO and its officers, employees, agents, successors, and assigns from each and every past, present, and future dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action arising directly or indirectly out of or relating to the DEMO Properties. If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release."

Indemnification

You shall defend, indemnify, and hold DEMO and its officers, employees, agents, successors, and assigns harmless from and against any claims, actions, or demands, including reasonable legal and accounting fees, arising or resulting from: (i) Your Content; (ii) your breach of these Terms of Use; (iii) your access to, use, or misuse of the DEMO Properties; or (iv) your violation of any applicable laws, rules, or regulations.

External Sites

The Site may contain links to third-party websites and applications ("External Sites"). We provide these links only as a convenience. We do not review, approve, monitor, endorse, control, or make any representations with respect to External Sites and are not responsible for their content or any products or services provided in connection with them. You use all External Sites at your own risk. When you leave our Site, our Terms of Use and policies no longer govern.

App Stores

The availability of the App may depend on third-party app stores such as the Apple App Store or Google Play (each, an "App Store"). These Terms of Use are between you and us, not with the App Store. We, not the App Store, are solely responsible for the DEMO Properties, including the App, its content, maintenance, support, and warranty. You agree to comply with all applicable terms imposed by the App Store when using the DEMO Properties. Apple and its subsidiaries are third-party beneficiaries of these Terms as related to your license of any App Store Sourced Application.

Term and Termination

These Terms of Use will remain in full force and effect while you use the Site or App. We may terminate these Terms of Use and your access to all or any part of the DEMO Properties at any time and for any reason without prior notice or liability. We reserve the right to change, suspend, or discontinue all or any part of the DEMO Properties at any time without prior notice.

If your access to the DEMO Properties is terminated due to a violation of these Terms, you agree not to attempt to re-register or re-access the DEMO Properties through any other means. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitation of liability.

Dispute Resolution

Any and all controversies, disputes, demands, claims, or causes of action between you and DEMO and our employees, agents, successors, or assigns, regarding or relating to the DEMO Properties or these Terms of Use shall exclusively be settled through binding and confidential arbitration. Arbitration shall be subject to the Federal Arbitration Act. The arbitration shall be conducted before one commercial arbitrator with substantial experience in resolving commercial contract disputes from the American Arbitration Association ("AAA") or JAMS.

You and we must abide by the following rules:

• Any claims must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class or representative proceeding
• The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding
• The arbitrator shall honor claims of privilege and privacy recognized at law
• The arbitrator's award shall be final and may be enforced in any court of competent jurisdiction
• Each side pays its own attorneys' fees and expenses unless a statute requires otherwise

Either party may bring an individual action in small claims court. Claims of infringement or misappropriation of patent, copyright, trademark, or trade secrets shall not be subject to this arbitration agreement and shall be brought exclusively in the state or federal courts located in Sacramento, California. Either party may also seek emergency equitable relief in such courts to maintain the status quo pending arbitration.

You have the right to opt out of this Dispute Resolution section by sending written notice to [email protected] within 30 days after first becoming subject to this section. Your notice must include your name, address, username (if any), the email address used to set up your account (if any), and an unequivocal statement that you want to opt out.

These Terms of Use and any disputes shall be governed by the internal laws of the State of California, without regard to its choice of law rules, except that the arbitration provision shall be governed by the Federal Arbitration Act. Miscellaneous

If any portion of these Terms of Use is held to be invalid or unenforceable, that portion shall be construed as nearly as possible to reflect the original intentions of the parties, and the remainder shall remain in full force and effect. We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, fire, floods, accidents, or labor shortages. You may not assign these Terms of Use. No waiver shall be effective unless in writing.

These Terms of Use contain the entire agreement of the parties concerning the subject matter hereof and supersede all existing agreements and other oral, written, or other communications concerning their subject matter. The DEMO Properties may be subject to U.S. export control laws. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from us in violation of United States export laws or regulations.
